Welcome to Praan Healthtech Private Limited (“Praan”, “Praan Health”, “we”, “us”, “our”). These Terms and Conditions (“Terms”) govern your access to and use of our website (www.praan.health), our mobile application, and our health programmes, services, and content (collectively, the “Services”).

By accessing our website, booking a consultation, enrolling in a protocol, or using any of our Services, you agree to be bound by these Terms. If you do not agree, please do not use our Services. Where you enrol on behalf of another person (the “Member”) as a Care Giver, you confirm that the Member is aware of and consents to participating.

“Protocol” means the specific Praan Health plan you enrol in — for example our Comprehensive, Essential, or GLP protocols, or any other protocol we may offer from time to time. Protocols differ in their components, duration, session frequency, buffer allowance, and delivery format. The specific inclusions that apply to you are set out in your Protocol Confirmation (the plan details shared with you at enrolment). Where these Terms describe a component, session count, or allowance, it applies to you only to the extent it is included in your Protocol Confirmation. In the event of any conflict between a general example in these Terms and your Protocol Confirmation, your Protocol Confirmation governs the inclusions of your plan.

1. About Praan Health
Praan Health is a doctor-led chronic and continuous care platform offering personalised, structured health protocols for adults of all ages. Depending on the protocol, our programmes may combine clinical oversight with strength training, nutrition support, wellness coaching, and other components, to help Members manage and improve long-term health across conditions such as Type 2 diabetes, hypertension, obesity, joint conditions, and related co-morbidities.

Praan Health protocols are lifestyle intervention programmes. They are not a substitute for emergency medical care, hospitalisation, or primary medical treatment. In the event of a medical emergency, contact emergency services immediately (Dial 112).


2. Care Team & Scope of Services
Depending on your enrolled protocol, your care team may include one or more of the following:
- Praan Doctor: Licensed physician providing clinical oversight, online consultations, customised care plans, and blood panel reviews.
- Praan Coach: Certified trainer conducting 1:1 or group strength training sessions, online or offline, with real-time feedback and form correction.
- Praan Nutritionist: Clinical nutritionist providing personalised meal planning, dietary guidance, and regular follow-up calls.
- Wellness Counsellor: Trained counsellor providing structured support focused on motivation, habit formation, lifestyle integration, and emotional resilience.
- Care Coordinator: Your primary point of contact for protocol coordination, scheduling, and relationship support. Applicable by protocol type.

Wellness Counselling — Optional Opt-In
Wellness counselling is an optional, complimentary component available to enrolled Members of selective protocol types. It is not included by default and must be explicitly opted into. Members who wish to include it may confirm eligibility and opt in through their Care Coordinator.


3. EligibilityYou may use our Services if you are at least 18 years of age, or if you are enrolling on behalf of a parent or dependent as a Care Giver with their informed consent. By using the Services, you represent that the information you provide is accurate and complete.


4. Protocol Structure & DeliveryYour protocol is personalised based on the plan you enrol in. Components, duration, session frequency, and delivery format vary by protocol — your Protocol Confirmation sets out the specific components, counts, and formats that apply to you. Not every component listed below is included in every protocol; some protocols may include components not listed here.

The components a protocol may include — depending on the plan — are:
Praan Strength Training Sessions - 1:1 or group training, online or offline, with real-time feedback and form correction
Praan Nutritionist Consultation Calls - Personalised meal planning, dietary guidance, and follow-up calls
Praan Doctor Consultation Calls - Clinical oversight, online consultations, care plan, and blood panel reviews
Wellness Counselling Sessions - Optional, complimentary support where included; must be opted into

Session frequency and format (for example, sessions per week, individual vs. couple, online vs. at-home, audio vs. video) are specified in your Protocol Confirmation and may differ between protocols. The table above describes what each component covers where it is included — it is not a list of what every protocol includes, and does not by itself entitle you to any component not in your Protocol Confirmation.


5. Breaks, Buffer & SchedulingMembers may take planned breaks during their protocol within the buffer allowance for their plan. The buffer scales with protocol duration and inclusions, and the specific allowance applicable to you is set out in your Consent Form and Protocol Confirmation. Breaks must be communicated to the care team in advance to activate the buffer period; remaining sessions are rescheduled based on mutual availability.

Extended breaks beyond the standard allowance may be granted in case of medical emergencies or other unavoidable circumstances, subject to Praan Health’s review on a case-by-case basis. If the buffer allowance is exhausted, remaining unused sessions will be considered lapsed and the protocol will be marked concluded.

Where any member of your care team is unavailable due to leave, illness, reassignment, or any other operational reason, the affected sessions will not count against your break allowance. Disruptions caused by Praan Health’s internal operations are covered by the company, and those sessions will be adjusted and appended to the end of the protocol at no additional cost.


6. No-Show & Communication Policies

No-Show Policy
Members are expected to provide reasonable advance notice if they cannot attend a scheduled session or consultation. The specific notice windows and consequences for repeated no-shows are set out in your Consent Form and Protocol Confirmation. Sessions cancelled at the last minute or missed without adequate notice may be treated as completed and will not be compensated or rescheduled.

Unresponsive / No Communication
If a Member is unreachable for a prolonged period without prior notice, the Member may be marked inactive and their care team bandwidth reallocated. Re-activation is subject to renewal. The specific timeframe is set out in your Consent Form.


7. Protocol Conclusion & Close-Out
A protocol is considered concluded when the Member completes their enrolled protocol (of the duration set out in their Protocol Confirmation) and chooses not to renew — specifically, when all the included sessions, calls, and consultations have been completed. Conclusion is not simply the passing of time; it is a structured close-out designed to ensure you graduate with a documented record of progress and forward recommendations.

Where applicable to your protocol, the close-out may include the following steps, completed in order. Steps tied to components not included in your protocol do not apply:
a. Blood Panel Booking (where your protocol includes clinical review): the care team coordinates a blood work test to benchmark progress against your baseline.
b. Final Assessment (where your protocol includes training or functional testing): the relevant care team member re-administers the baseline assessment to measure progress.
c. Final Praan Doctor Consultation (where your protocol includes doctor consultations): a concluding consultation reviews your results, progress, and forward recommendations.
d. Final Progress Report & Recommendations: you receive a written summary covering baseline vs. end-of-protocol metrics for the components included in your plan, progress observed, and a recommendations document for maintenance and follow-ups.

Where your protocol requires a closing blood panel or other report, Members must submit it within the timeframe set out in their Consent Form. Failure to submit within this period will result in the protocol being marked concluded without a final clinical review, after which no further feedback or protocol-related support will be provided. Once the close-out is complete — or if you do not respond or submit required reports within the stipulated period — the protocol is formally marked concluded, care team bandwidth is released, and access to protocol support ceases. Any future engagement requires fresh enrolment.


8. Member & Care Giver Responsibilities

Member Responsibilities

Attend all scheduled sessions and consultations on time, or provide advance notice if unable to.
- Disclose all known medical conditions, medications, surgeries, allergies, and relevant health information honestly and completely at enrolment and throughout the protocol.
- Inform the care team promptly of any new symptoms, discomfort, pain, or adverse reactions during or after sessions.
- Follow the exercise modifications, nutrition guidelines, and clinical recommendations provided.
- Complete blood panel tests at the milestones specified in your Protocol Confirmation (where applicable) and share reports within the stipulated timeframe.
- Communicate planned travel, schedule changes, or pause requests in advance, to activate the buffer period.Engage with the care team in good faith and participate actively.

Care Giver Responsibilities
A Care Giver is typically an adult family member who enrols the Member and remains involved. Where a Care Giver is involved:
- They confirm the Member is aware of and has consented to participating in the protocol.
- They are responsible for ensuring health information provided on the Member’s behalf is accurate and complete.
- They acknowledge they may be included in the protocol communication group and will receive health-related updates about the Member.
- They agree to support the Member’s participation and adherence throughout the protocol.


9. Risks & DisclaimersPhysical Activity Risk.
All physical activity carries inherent risk, including muscle soreness, strain, injury, or discomfort. This risk is elevated for adults aged 50 and above and for those managing chronic conditions. Our protocols are designed and supervised by qualified professionals, but risk cannot be eliminated entirely. Stop any exercise immediately if you experience pain, dizziness, breathlessness, or unusual discomfort, and notify the care team without delay.

Nutrition Guidance. Dietary changes may cause temporary adjustment effects. Nutrition guidance is personalised for general health improvement and chronic condition management; it is not a substitute for emergency medical care. Inform the care team of allergies, intolerances, or dietary restrictions at enrolment.

Clinical Consultation Scope. Praan Doctor consultations are for monitoring, guidance, and progress review. They are conducted by licensed physicians but are not a substitute for emergency care, hospitalisation, or specialist treatment. Maintain your relationship with your primary care physician or specialist for conditions outside the scope of this protocol.

Wellness Coaching Scope. Wellness coaching is supportive in nature — focused on adherence, motivation, and lifestyle integration. It is not a substitute for psychiatric evaluation, clinical counselling, or formal mental health therapy.

No Guarantee of Results. Health outcomes vary between individuals and depend on consistency, adherence, underlying conditions, and personal effort. Praan Health does not guarantee specific medical, fitness, or health results.

Not a Medical Emergency Service. Praan Health does not provide emergency medical response, ambulance dispatch, or crisis intervention. In an emergency, contact emergency services immediately (Dial 112).


10. Liability Waiver & Limitation of Liability
By enrolling, the Member acknowledges and agrees that:
- Participation is entirely voluntary.
- Physical activity, dietary changes, and lifestyle interventions carry inherent risks, including the possibility of injury, illness, or adverse outcomes, even with professional supervision.
- The Member has disclosed all relevant medical information and understands that failure to do so may affect their safety and outcomes, for which Praan Health will not be held responsible.
- To the maximum extent permitted by law, the Member releases Praan Healthtech Pvt. Ltd., its directors, employees, care team members, and affiliates from liability for any physical injury, illness, discomfort, or adverse outcome arising from participation, except in cases of gross negligence or wilful misconduct on the part of Praan Health.
- Praan Health’s liability, if any, shall in no event exceed the total fees paid by the Member for the current protocol.


11. Communication

Praan Health’s primary communication channel is the Praan Health App / WhatsApp, as applicable to your protocol type. A dedicated WhatsApp group may be created including your care team and, where applicable, your Care Giver. By enrolling, you consent to being added to this group where applicable, and acknowledge that messages shared there are visible to all group members, including your Care Giver.

Protocol support is generally available Monday to Saturday, 10:00 AM to 8:00 PM. Messages received during working hours are acknowledged within 24–36 hours.


12. App & Digital Services
Praan Health provides a mobile application and related digital tools for Members and Care Givers, enabling health tracking, session scheduling, progress monitoring, blood report uploads, and communication with the care team. Data entered into the app forms part of your care record and is handled in accordance with our Privacy Policy.

You are responsible for maintaining the confidentiality of your login credentials and for all activity on your account. Praan Health is not liable for unauthorised access resulting from member negligence. App features may be updated from time to time to improve the member experience.


13. Intellectual Property
All content created or provided by Praan Health — including care plans, nutrition plans, exercise programmes, reports, assessments, educational materials, and platform content — is owned by or licensed to Praan Healthtech Pvt. Ltd. You may use this content solely for personal, non-commercial purposes in connection with your protocol. Reproduction, distribution, or commercial use without prior written permission is not permitted.


14. Protocol Modification Rights
Praan Health may assign or change care team members, modify session sequencing, adjust delivery methods, or restructure protocol components when required for safety, clinical appropriateness, or operational necessity. We will ensure continuity of care and communicate changes in advance wherever possible.

Format or location changes initiated by the Member. If your protocol format changes mid-protocol — for example, switching between offline and online delivery, or relocating to a different city — we will make every effort to continue in the new format. Because care team allocation is a citywise, format-specific network, the same care team may not be available across formats or geographies. In such cases, your session entitlement, protocol duration, and progress arc remain unchanged; you may be assigned a new care team better suited to the new format or location; and any sessions affected by a short transition window will not count against your break allowance.


15. Payments & Pricing
- All protocol fees are payable upfront in full prior to commencement, unless otherwise agreed in writing.
- Fees are inclusive or exclusive of applicable GST as communicated at the time of payment.
- Praan Health reserves the right to revise pricing for new enrolments and renewals.


16. Refunds & Cancellations
Refunds, cancellations, and pauses are governed by our Refund Policy, which forms an integral part of these Terms. Members may discontinue at any time by providing written notice to support@praan.health. Discontinuation does not automatically entitle the Member to a refund. Please review the Refund Policy for detailed conditions.


17. Renewal Terms
Each renewal is treated as a fresh enrolment under a new agreement. Care team continuity is handled as follows:
- Back-to-back renewal (no gap): if you renew before your current protocol ends — or with no break in between — Praan Health will, in the normal course, retain the same care team for the renewed protocol, subject to their continued availability.
- Renewal after a break: if you renew after any gap between protocols — even a break as short as a few days — care team continuity cannot be guaranteed. Capacity is allocated dynamically across active Members, and any pause releases that bandwidth. The renewed protocol will be staffed based on availability at the time of renewal.

Members who wish to retain their existing care team are encouraged to confirm renewal before their current protocol concludes.


18. Termination
Praan Health may suspend or terminate access to the protocol if these Terms are violated; if there are repeated unexplained no-shows or prolonged non-communication; if continued participation poses a clinical safety risk; or if the Services are misused. Termination does not automatically entitle the Member to a refund unless specified under the Refund Policy.


19. Governing Law & Jurisdiction
These Terms are governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Bengaluru, Karnataka.


20. Updates to These Terms
We may update these Terms, our Privacy Policy, and our Refund Policy from time to time. Updated versions will be published on this page with a revised “Last updated” date. Continued use of the Services constitutes acceptance of the revised Terms.
